General Provisions
These Purchase and Sale Terms (hereinafter referred to as the “Terms”) establish the mutual rights, obligations, and responsibilities of the person purchasing goods in this online store (hereinafter referred to as the “Buyer”) and MB “Roxellers”, company code 305678901 (hereinafter referred to as the “Seller”), when the Buyer acquires goods in the online store. By purchasing goods in the online store, the Buyer agrees to be bound by these Terms.

Moment of Conclusion of the Purchase and Sale Agreement
2.1. The purchase and sale agreement between the Buyer and the Seller is deemed concluded from the moment the Buyer, having formed a cart of goods in the online store, provided the delivery address, selected the payment method, and clicked the “Complete Order” button, and remains in effect until the full performance of all obligations under this agreement. If the Buyer does not agree to all or part of these Terms, they must not submit the order.
2.2. Each agreement concluded between the Buyer and the Seller is stored in the online store’s database.

Rights of the Buyer
3.1. The Buyer has the right to purchase goods in the online store in accordance with these Terms and the laws of the Republic of Lithuania.
3.2. The Buyer (consumer) has the right to withdraw from the purchase and sale agreement concluded in the online store with the Seller (excluding agreements concerning the sale of audio and video recordings on any media, computer software where the Buyer (consumer) has broken the packaging seals; brochures or other periodicals) by notifying the Seller in writing within 7 working days from the date of delivery of the goods. The Buyer may only withdraw if the goods are of proper quality, undamaged, and have not materially changed in appearance.
3.3. The Buyer has other rights provided by these Terms and the laws of the Republic of Lithuania.

Obligations of the Buyer
4.1. The Buyer shall pay the price of the goods and delivery, as well as any other payments specified when concluding the agreement, and accept the ordered goods. Payment is made via Stripe, Paysera, bank transfer, or PayPal.
4.2. If the information provided in the Buyer’s registration form changes, the Buyer must promptly update it.
4.3. The Buyer shall comply with these Terms and the requirements set forth by the laws of the Republic of Lithuania.

Rights of the Seller
5.1. If the Buyer attempts to impair the operation or stability of the online store or breaches their obligations, the Seller may limit, suspend (terminate) the Buyer’s access to the online store without prior notice and is not liable for any losses incurred by the Buyer in connection therewith.
5.2. The Seller may temporarily or indefinitely suspend the operation of the online store without separate notice and is not liable for any losses incurred by the Buyer in connection therewith.
5.3. The Seller has the right to unilaterally amend these Terms by publishing the amended version on the online store website. Changes take effect upon publication for all transactions concluded after publication.
5.4. The Seller has other rights provided by these Terms and the laws of the Republic of Lithuania.

Obligations of the Seller
6.1. The Seller undertakes to make efforts to ensure that the Buyer can properly use the services provided by the online store. The Seller does not guarantee uninterrupted operation of the online store or error-free data transmission and is not liable for any losses of the Buyer arising from service interruptions or data transmission errors.
6.2. If, due to important circumstances, the Seller cannot provide the ordered goods, the Seller undertakes to offer a similar product. If the Buyer refuses the substitute, the Seller shall refund the payment within 5 working days. In this case, the Seller is released from liability for non-delivery.
6.3. The Seller shall comply with other requirements set forth in these Terms.

Delivery of Goods
7.1. Delivery is carried out at the Buyer’s expense by a transport company. In cases specified by the Seller, delivery may be at the Seller’s expense.
7.2. The exact delivery cost depends on the price and weight of the ordered goods and will be determined after the order is formed.
7.3. The service of carrying goods into premises must be ordered separately before payment and is paid by the Buyer. In cases specified by the Seller, this service may be paid by the Seller.
7.4. Normally, goods are delivered to the Buyer’s address within 3–5 working days from receipt of payment if the goods are in the Seller’s warehouses. The Seller does not guarantee delivery within this period if the goods are not in the Seller’s warehouses. Delivery covers the entire territory of the Republic of Lithuania, including the Curonian Spit (an extra fee applies).
7.5. The exact delivery date will be provided by email to the Buyer at the address specified in the registration form. The Buyer must check this email daily until the delivery notification is received.
7.6. Upon delivery, the Buyer or the Buyer’s representative must inspect the package’s condition, quantity, quality, and assortment together with the transport company’s representative.
7.6.1. If the package is damaged but the quantity, quality, or assortment of goods is intact, the Buyer or their representative must note the damage in the data terminal or delivery confirmation document provided by the transport company.
7.6.2. If there is a discrepancy in quantity, quality, or assortment, the Buyer or their representative must refuse to accept the shipment and complete a special inspection report.
7.6.3. If the Buyer or their representative accepts the shipment with a noted package damage, it is considered delivered in a damaged package but with the correct quantity, quality, and assortment, and additional services noted are deemed properly performed.
7.6.4. If the shipment is accepted without remarks, it is considered delivered in an undamaged package with correct quantity, quality, and assortment, and additional services noted are deemed properly performed.
7.7. Once delivered to the Buyer’s specified address, goods are deemed handed over, regardless of who accepts them. If goods are not delivered on the planned date, the Buyer must inform the Seller immediately, but no later than the next day after the planned delivery date, or forfeit the right to make claims regarding non-delivery or late delivery.
7.8. If someone other than the Buyer will accept the goods, the Buyer must provide that person’s details when filling in delivery information.

Return of Goods
8.1. If the Buyer (consumer) withdraws from the agreement as provided in Clause 3.2, the goods shall be returned to the Seller, and the Buyer’s payment shall be refunded within 15 days from receipt of the written notice of withdrawal.
8.1.1. Goods must be returned in their original packaging with all documentation (including the warranty card, if provided). The original VAT invoice received with the shipment must be included if all goods from that invoice are returned, or a copy of the invoice and a signed withdrawal notification form if only part of the goods are returned.
8.1.2. The Buyer is responsible for proper packing and assembly of returned goods. The Seller may refuse improperly packed returns.
8.1.3. Goods that have been used, damaged, or lost their commercial appearance are not accepted for return.

Liability
9.1. The Buyer is responsible for the accuracy of data provided in the registration form and bears the consequences of any inaccuracies.
9.2. Liability for breach of the purchase and sale agreement is governed by the laws of the Republic of Lithuania.
9.3. If the Buyer unjustifiably refuses to accept goods or part thereof, the Buyer pays a penalty of 10% of the price of the refused goods.
9.4. In accordance with Article 8(3) of the Law on Electronic Signature, actions by the Buyer in the online store using their login credentials have the same legal effect as a handwritten signature and are admissible evidence in court. The Buyer must keep their credentials confidential. The Buyer is liable for all actions performed with their credentials.
9.5. The Seller is not liable for information on other companies’ websites, even if accessed via links in the online store.
9.6. The Seller is not liable if product colors, shapes, or other parameters displayed in the online store differ from reality due to the Buyer’s monitor settings.
9.7. The party at fault shall compensate the other party for direct losses incurred due to its fault.

Processing of Personal Data
10.1. By clicking “Confirm Order” or “Pay,” the Buyer confirms that they and their representatives consent to provide the personal data specified in these Terms and the registration form and agree to its processing for purposes of online trade.
10.2. By clicking “Confirm Order” or “Pay,” the Buyer confirms that they and their representatives consent to provide their personal data to third parties selected by the Seller for processing for purposes of online trade.
10.3. By clicking “Confirm Order” or “Pay,” the Buyer confirms that they and their representatives consent to present one form of identification (passport, identity card, or driver’s license) upon pickup of goods at the collection point. The Seller and/or third party shall record and process the data from the identification document for purposes of online trade.
10.6. By clicking “Confirm Order” or “Pay,” the Buyer confirms that they and their representatives are informed of their right to access, correct, delete, or restrict processing of their personal data and to object to processing at any time.
10.7. By clicking “Confirm Order” or “Pay,” the Buyer acknowledges that although they may refuse to provide personal data, such data is necessary for identification and contract performance, and refusal prevents contract formation or execution.

Communication
11.1. The Seller sends all notices to the Buyer’s email address provided in the registration form.
11.2. The Buyer sends all notices and inquiries to the address indicated in the “Contacts” section of the online store.

Final Provisions
12.1. The Buyer and the Seller agree that all information presented on the online store website (including these Terms, information about the Seller, offered goods and services and their features, the procedure for exercising the right to withdraw, after-sales services, and warranties, if provided) is deemed provided to the Buyer in writing.
12.2. These Terms do not limit the Buyer’s (consumer’s) rights under the laws of the Republic of Lithuania.
12.3. All disputes arising from or related to the purchase and sale agreement shall be settled by negotiation. If negotiations fail, disputes shall be resolved according to the laws of the Republic of Lithuania.
